Aerixx Film License (Non-Exclusive, Revenue Share)
Between: You ("you", "Licensor") and Krome House Media, LLC, which runs the Aerixx network ("Aerixx", "we").
Film: "Your film", including its trailer and artwork (the "Film").
- What you license. You give Aerixx a non-exclusive license to host, stream and show the Film to viewers on the Aerixx network: aerixx.com, the Aerixx apps, and Aerixx channels on TVs and devices (Roku, Fire TV, Apple TV and similar), worldwide. Aerixx may offer it to subscribers, free with ads, or to rent or buy, and may put it in any plan or tier.
- Not exclusive. You keep ownership of the Film and every right in it. You may license or sell it anywhere else, including to other streaming services, at the same time. Aerixx gets no rights outside its own network except the promotion described below.
- Promotion. Aerixx may use the Film's title, trailer, artwork, stills, synopsis and clips of up to two minutes each, and the names and approved photos of the people credited, to promote the Film and the Aerixx network: on the site and apps, social media, email, ads and press. Promotion already running when the license ends may finish its run.
- How long. 2 years from the day the Film first goes live on Aerixx, then renewing for one year at a time. Either of us can end the license at any time with 30 days' written notice (email is enough). Aerixx stops offering the Film at the end of the notice period. Rentals and purchases already made stay playable for the viewers who paid.
- Your share. Aerixx pays you: (a) 50% of Net Receipts from rentals and purchases of the Film; (b) 50% of Net Receipts from ads shown during or next to the Film; and (c) a share of the Licensed Content Pool, which is 30% of each month's Net Receipts from Aerixx subscriptions, split between all licensed titles in proportion to the minutes members watched each title that month. "Net Receipts" means money Aerixx actually receives, less refunds, chargebacks, payment-processing and app-store fees, and sales taxes. Aerixx's own shows, music videos and creator channels are not in the pool, and creator subscriptions and tips are not subscription revenue for the pool.
- Statements and payment. Within 45 days after each calendar quarter, Aerixx sends you a statement of the Film's views, minutes watched and earnings, and pays what you're owed by bank transfer or Stripe. Amounts under $25.00 carry over to the next quarter. You can ask questions about a statement within 12 months of receiving it. You're responsible for your own taxes and will give Aerixx a W-9 (or W-8) before the first payment.
- Delivery. Within 30 days of signing, you deliver through the upload link Aerixx sends: the Film as a 1080p or higher video file (H.264 or ProRes, stereo audio); English captions (SRT or VTT); a trailer; key art without text at 16:9 and 2:3; the title treatment if you have one; a synopsis; the credits; and notes on any strong content (language, violence, sexual content, drug use). Aerixx may re-encode the files for streaming.
- Editing. Aerixx won't cut or change the Film's content without your written OK. Aerixx may add captions, ratings and content notes, its logo, opening and closing cards, and ad breaks at natural scene changes if the Film is offered with ads.
- Aerixx's choices. Aerixx decides whether, when and where to feature the Film, its price to rent or buy, and which plans include it, and may stop offering it at any time. Aerixx doesn't promise any number of views or any earnings.
- Your promises. You (or the company you sign for) own the Film or control every right needed to grant this license, and you have authority to sign. Everything in the Film is cleared for streaming worldwide: every song and recording (both the composition and the master), every clip, photo, artwork and trademark, and every location. You have signed releases from every person who appears on screen, and no one under 18 appears in sexual or otherwise inappropriate content. The Film doesn't defame anyone or violate anyone's privacy or other rights. You'll tell Aerixx right away if any of this changes.
- If there's a claim. If anyone claims the Film or anything in it infringes their rights, Aerixx may take the Film down immediately while it's sorted out. You'll cover Aerixx's reasonable costs, including legal fees, from any claim that comes from a broken promise in this license. Aerixx will cover your reasonable costs from any claim caused by Aerixx using the Film outside what this license allows.
- Limits. Neither of us is liable to the other for indirect or lost-profit damages. Apart from what's owed under "Your share" and the "If there's a claim" section, each side's total liability under this license is limited to the amounts Aerixx paid you in the 12 months before the claim.
- The legal part. You're an independent licensor; nothing here makes us partners or employees. Aerixx may transfer this license to a related company or to a buyer of the Aerixx network; you may transfer it to a buyer of the Film's rights, with notice to Aerixx. This license is the whole agreement about the Film, can only be changed in writing signed by both of us, and is governed by the laws of the State of Georgia. You agree it can be signed electronically.
Signing: [Your name] signs for the Licensor (You) and confirms they have authority to do so.
For Krome House Media, LLC: signed by an authorized signer.
